1. Overview

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Capritora SRL ("Redate", "Capritora"), a company registered in Belgium under enterprise number BE0786931405, with registered offices at 488 Chaussee de Louvain, 1380 Ohain, Belgium. These Terms govern your access to and use of the Redate.io platform ("Service"). By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as the Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree to these Terms, do not use the Service. These Terms are governed by Belgian law, including Book VI of the Belgian Code of Economic Law for consumer transactions, and comply with applicable European Union regulations including the General Data Protection Regulation (GDPR), the NIS2 Directive, and the EU Data Act.

2. Description of Service

Redate.io is a Software-as-a-Service (SaaS) platform that detects and corrects email dates corrupted during IMAP migration. When emails are migrated between providers, migration tools may alter email headers, causing emails to appear with the migration date instead of the original send/receive date in email clients such as Outlook, Gmail, and Thunderbird. The Service operates as follows: - Connect to your mailbox via Google Workspace, Microsoft 365, or direct IMAP connection. - Scan the mailbox to identify emails with corrupted dates. - For each affected email: correct the email headers to restore the original date. - Verify the corrected email to ensure data integrity. - Move the original email to a visible backup folder (not permanently deleted). The diagnostic scan is always free and does not require payment. The fix process is a paid service, charged per mailbox based on the number of emails to correct.

3. Account Registration

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your information promptly if it changes. You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify Redate immediately at hello@redate.io of any unauthorized use of your account or any other security breach. Redate reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, particularly in cases of suspected fraud, abuse, or violation of these Terms.

4. Payment and Pricing

Pricing is per mailbox, based on the number of emails to correct: - Starter (up to 1,000 emails): 49 EUR - Standard (up to 10,000 emails): 99 EUR - Pro (up to 30,000 emails): 199 EUR - Enterprise (up to 100,000 emails): 349 EUR All prices are displayed in euros (EUR). For individual consumers (B2C), prices include applicable taxes. Business clients (B2B) with a valid EU VAT number may benefit from the reverse charge mechanism (0% VAT) in accordance with the EU VAT Directive. Payment is processed exclusively through Stripe. Redate does not store credit card numbers or payment card data. Only order references and invoice links are retained. Stripe handles PCI DSS compliance for all card transactions. You will not be charged until you explicitly initiate the fix process. The diagnostic scan is always free. Redate reserves the right to modify pricing with 30 days' prior notice. Any price change will not affect orders already paid for.

5. Refund Policy

Refund eligibility depends on the status of the fix process at the time of your request: - Fix not started: If you have paid but the fix process has not yet begun, you are entitled to a full refund of the amount paid. - Fix in progress: If the fix process has started but is not yet complete, a partial refund may be issued proportional to the number of emails that have not yet been processed. - Fix completed: No refund is available after the fix process has been fully completed, as the service has been fully delivered. To request a refund, contact Redate at hello@redate.io with your order reference. Refund requests will be processed within 14 business days. Refunds are issued to the original payment method via Stripe. These refund terms do not affect your statutory rights under Belgian consumer protection law (Book VI, Belgian Code of Economic Law). For digital services fully performed with the consumer's prior express consent, the right of withdrawal does not apply once performance has begun, in accordance with Article VI.53, 13 of the Belgian Code of Economic Law.

6. Email Data Access and Authorization

By using the Service, you explicitly authorize Redate to access your email mailbox for the sole purpose of scanning email headers and correcting email dates. This authorization constitutes your informed consent under GDPR Article 6(1)(a). Redate accesses email headers and metadata to identify affected emails. During the fix process, each email is temporarily processed in memory to correct its headers, then the corrected version is placed back in your mailbox. Email content is processed transiently and is never permanently stored on Redate's servers. Each email transits through Redate's infrastructure for seconds during processing, then is immediately discarded. Only metadata is retained: email counts, scan results, fix status, and timestamps. This data is necessary for service delivery, reporting, and support. You represent and warrant that you have the legal authority to grant Redate access to the mailbox(es) you connect. If you are connecting mailboxes belonging to other users (e.g., as an IT administrator), you represent that you have obtained the necessary authorization from the mailbox owners or that you act under a lawful basis (such as employer authority) to do so. You may revoke access at any time through your email provider's admin console (Google Admin, Microsoft Entra, or by changing your IMAP password).

7. Intellectual Property

The Service, including its software, algorithms, user interface, documentation, branding, and all related intellectual property, is and remains the exclusive property of Capritora SRL. These Terms do not transfer any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms. You retain full ownership of your email data. Redate claims no ownership rights over the content of your emails or any data processed through the Service. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code of the Service, except where such restriction is prohibited by applicable law.

8. Limitation of Liability

The Service is provided with documented precautions to prevent data loss and ensure reliable operation. Redate implements the following safety measures: (a) original emails are moved to a visible backup folder before modification, not permanently deleted; (b) each re-inserted email is verified by size and content hash comparison; (c) original emails remain recoverable in the backup folder for at least 30 days. To the maximum extent permitted by Belgian and EU law, Capritora SRL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, loss of business, business interruption, or loss of goodwill, arising out of or in connection with the use of the Service. The total aggregate liability of Capritora SRL for any and all claims arising out of or in connection with the Service shall not exceed the amount actually paid by you for the specific service giving rise to the claim. Any claim arising from the use of the Service must be brought within twelve (12) months of the event giving rise to the claim. Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) intentional acts or gross negligence (faute lourde); or (d) any other liability that cannot be excluded or limited under Belgian or EU law. You are solely responsible for maintaining independent backups of your email data. Redate strongly recommends that you maintain your own backups before initiating the fix process.

9. Indemnification

You agree to indemnify, defend, and hold harmless Capritora SRL, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) your authorization of access to mailboxes for which you lack proper authority; or (e) any third-party claims related to your use of the Service. This indemnification obligation survives the termination of your account and these Terms.

10. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of the affected party, including but not limited to: natural disasters, war, terrorism, riots, epidemics or pandemics, government actions or orders, power outages, internet or telecommunications failures, cyberattacks, or failures of third-party service providers (including email providers, hosting providers, and payment processors). The affected party shall notify the other party promptly and use reasonable efforts to mitigate the effects of the force majeure event. If the force majeure event continues for more than 90 consecutive days, either party may terminate the affected services without liability.

11. Service Availability

Redate uses reasonable efforts to ensure the Service is available and operational. However, the Service is provided without any uptime guarantee. Redate does not warrant that the Service will be uninterrupted, error-free, or available at all times. Scheduled maintenance will be performed during off-peak hours when possible. Redate may temporarily suspend the Service for maintenance, updates, or security reasons without prior notice in urgent cases. The Service depends on third-party providers (Google, Microsoft, IMAP servers, Render.com, Stripe) whose availability is outside of Redate's control. Redate shall not be liable for any interruptions caused by third-party service disruptions.

12. Account Termination and Data Export

You may delete your account at any time from the Settings page. Upon deletion, all your personal data will be permanently removed within 30 days, except for payment records retained for 10 years as required by Belgian accounting law. Redate reserves the right to suspend or terminate accounts that: (a) violate these Terms; (b) engage in abusive, fraudulent, or illegal behavior; (c) attempt to compromise the security or integrity of the Service; or (d) remain inactive for more than 24 months. In compliance with the EU Data Act (applicable from September 2025), you have the right to: (a) terminate your use of the Service with a notice period of no more than 2 months; and (b) request the export of all your data in a structured, commonly used, machine-readable format within 30 days of termination. To exercise your data export right, contact Redate at hello@redate.io. Upon termination, your access to the Service will cease immediately. Any outstanding payment obligations remain due.

13. Modifications to Terms

Redate reserves the right to modify these Terms at any time. Material changes will be communicated to you by email and/or by a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance of the changes. If you do not agree with the modified Terms, you must stop using the Service and delete your account before the changes take effect. Non-material changes (such as formatting, clarifications, or corrections that do not affect your rights or obligations) may be made without prior notice.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions. For B2B customers, any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Brussels, Belgium. For B2C customers (consumers), this choice of jurisdiction does not deprive you of the protection afforded by mandatory provisions of the law of your country of habitual residence, in accordance with Regulation (EC) No 593/2008 (Rome I). You may also bring proceedings in the courts of your country of habitual residence. Before initiating legal proceedings, the parties agree to attempt to resolve disputes amicably by contacting Redate at hello@redate.io. The European Commission provides an Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the original intent and economic effect of the invalid provision.

16. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and (where applicable) the Data Processing Agreement, constitute the entire agreement between you and Capritora SRL regarding the use of the Service. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Redate regarding the Service. No waiver of any provision of these Terms shall be effective unless in writing and signed by Capritora SRL. A failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
